1. Acceptance of Terms

By accessing or using the Kairox Timesheet application ("Service") provided by Kairox UG (haftungsbeschränkt) ("Kairox", "we", "us", or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Kairox Timesheet is a time tracking solution for Microsoft SharePoint and Microsoft 365. The Service allows users to:

  • Record and track working hours
  • Manage projects and categories
  • Generate time reports
  • Export data for further processing

3. License and Subscription

The Service is offered through Microsoft AppSource. By subscribing, you receive a limited, non-exclusive, non-transferable license to use the Service in accordance with the subscription plan you have selected.

License Restrictions

You may not:

  • Copy, modify, or distribute the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Sublicense, rent, lease, or lend the Service to third parties
  • Use the Service for any unlawful purpose
  • Remove or alter any proprietary notices or labels

4. Data Ownership and Storage

Your Data Remains Yours: All time entries, projects, and configuration data are stored exclusively in your organization's Microsoft 365 SharePoint environment. You retain full ownership and control over this data.

Kairox does not access, store, or process your timesheet data on external servers. The application operates entirely within your Microsoft 365 tenant.

5. User Responsibilities

As a user of the Service, you agree to:

  • Provide accurate registration and subscription information
  • Maintain the confidentiality of your account credentials
  • Use the Service in compliance with all applicable laws
  • Not interfere with or disrupt the Service or its servers
  • Not attempt to gain unauthorized access to any part of the Service

6. Intellectual Property

The Service, including all content, features, and functionality (including but not limited to software, text, graphics, logos, and icons), is owned by Kairox and is protected by international copyright, trademark, and other intellectual property laws.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Your use of the Service is at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIROX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Kairox, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will cease immediately.

You may cancel your subscription at any time through Microsoft AppSource. Your data stored in SharePoint will remain in your tenant after cancellation.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Nuremberg, Germany.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
